Details of any restrictions on the transfer of securities
All transfers of shares shall be effected by transfer in writing in any usual or common form or such other form as the Fund's directors may allow, including, but not limited to uncertificated transfers in accordance with the CREST regulations. Every form of transfer shall state the full name and address of the transferor and transferee.
Subject to certain exceptions described below, fully paid shares will be free from any restriction on the right to transfer. Where shares are held in uncertificated form, a shareholder may transfer such shares in accordance with the CREST regulations and the directors of the Fund shall have power to implement such arrangements as they may in their absolute discretion think fit for such transfer, subject always to the CREST regulations.
The Fund's directors may decline to register any transfer of shares to any person where the transfer would, if registered, cause the assets of the Fund to be considered "plan assets" within the meaning of the Employee Retirement Income Security Act of 1974 or the aggregate number of U.S. Persons who are beneficial holders owners of shares in the Fund to exceed 80.
The registration of transfers may be suspended at such times and for such periods as the directors of the Fund determine, provided that such suspension shall not be for more than 30 days in any year. For so long as shares in the Fund are listed on AIM, any such discretion may not be exercised in such a way as to prevent dealings in the shares (or any particular class of the shares) taking place on an open and proper basis.
